ZF Polpharma S.A. completed the acquisition of Biofarm S.A., a leading Romanian pharmaceutical company listed on the Bucharest Stock Exchange. The transaction was carried out through a voluntary takeover offer at RON 1.3790 per share, following approval from the Romanian Financial Supervisory Authority. Before launching the offer, Polpharma secured irrevocable commitments from Biofarm’s two largest shareholders, Longshield Investment Group and Lion Capital, representing approximately 88.43% of Biofarm’s share capital. The transaction strengthens Polpharma’s position in Central and Eastern Europe and expands its presence in the Romanian pharmaceutical market.

ZF Polpharma S.A. is the largest pharmaceutical manufacturer in Poland and one of the leading pharmaceutical companies in Central and Eastern Europe. The company develops, manufactures and markets prescription medicines, OTC products and active pharmaceutical ingredients across numerous international markets.

Longshield Investment Group and Lion Capital were the principal shareholders of Biofarm S.A., jointly holding approximately 88.43% of the company's share capital prior to the transaction.
