IMAP advised the BCG Baden-Baden Cosmetics Group on its sale to the REVIDERM Group

IMAP M&A Consultants AG has advised BCG Baden-Baden Cosmetics Group GmbH, a long-established manufacturer of premium cosmetic products, on its sale to Mussler Cosmetic Production GmbH, a subsidiary of REVIDERM AG. Mussler is acquiring and continuing the business operations of BCG Baden-Baden Cosmetics via an asset deal (a so-called Übertragende Sanierung). Both the Baden-Baden site and all of the company's brands and subsidiaries will be retained.

With more than 80 years of corporate history, BCG Baden-Baden Cosmetics Group is an internationally active producer of premium skin care products. The company is home to the long-standing brands SANS SOUCIS, BIODROGA and DR. SCHELLER, and also develops and manufactures tailor-made private-label concepts for renowned customers. The entire value chain, from in-house research and product development through manufacturing, filling and quality assurance to worldwide distribution across some 70 countries, is managed from the Baden-Baden site.

Based in Sauerlach, Mussler Cosmetic Production GmbH is part of REVIDERM AG, one of the leading brands for professional beauty salons. With the acquisition, Mussler aims to sustainably strengthen its market position in the professional cosmetics segment. "BCG Baden-Baden Cosmetics has strong brands, outstanding production expertise and long-standing customer relationships. Together, we want to build on these strengths, expand our production capacity at the Baden-Baden site and consistently advance our business with beauty salons, international distributors and in the private-brand segment," says Dominik Bauermeister, Member of the Executive Board of REVIDERM AG and Managing Director of Mussler Cosmetic Production GmbH.

BCG Baden-Baden Cosmetics Group GmbH initiated insolvency proceedings under self-administration on March 26th, 2026. To address the complexity and legal challenges of the process, attorney Marc-Philippe Hornung of SZA Schilling, Zutt & Anschütz was appointed as an additional managing director of BCG Baden-Baden Cosmetics Group GmbH upon the order of preliminary self-administration. The self-administration was further supported by attorney Dr. Dirk Pehl of Schultze & Braun, whom the competent local court had appointed as trustee (Sachwalter). Together with the management, Marc-Philippe Hornung succeeded in keeping the business running in order to launch a structured, international investor process on April 15th, 2026. Following an intensive bidding process, REVIDERM AG submitted the most compelling offer and is acquiring the business operations of BCG Baden-Baden Cosmetics Group GmbH effective August 1st, 2026.
