Vitale & Co. assisted Banca Popolare di Vicenza S.p.A. in L.C.A. and to Veneto Banca S.p.A. in L.C.A. in the disposal to BPER Banca S.p.A. and to Banca Popolare di Sondrio S.c.p.A. of a total stake of 39.99% in the capital of Arca Holding S.p.A., leading Italian asset management company, active in private banking and asset management, which also holds the entire capital of Arca Fondi SGR.
Activities performed:
- Assistance in the analysis of the economic and financial situation of the business
- Assistance in the research of potential bidders and in the valuation of the strategic alternatives
- Origination of the transaction and assistance in defining the structure and the terms of transaction
- Assistance in the negotiations and definition of the agreement with the counterparties
- Cooperation with legal consultants and liquidators in the negotiation and definition of the legal documentation
- Drafting of a fairness opinion.
